Welcome to Mio Perks. By creating an account or using the Mio Perks application (the “Service”), you agree to be bound by these Terms & Conditions (“Terms”). Please read them carefully. If you do not agree, do not use the Service.

1. The Service

Mio Perks is a free consumer platform that helps you discover local deals, coupons, and loyalty programmes offered by participating businesses (“Partners”). The Service is provided “as is” and “as available” without any warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

2. No Guarantee of Deal Availability or Accuracy

Mio Perks acts as a marketplace connecting consumers with Partner businesses. We do not independently verify, endorse, or guarantee any deal, coupon, discount, offer, or loyalty reward listed on the Service. Deal availability, pricing, and terms are set entirely by Partners and may change or expire without notice. Mio Perks makes no representation that any offer listed will be available, honoured, or accurate at the time you attempt to use it.

3. Limitation of Liability

To the fullest extent permitted by applicable law, Mio Perks, its officers, directors, employees, contractors, and affiliates shall have zero liability to you for any loss, damage, or harm arising out of or in connection with your use of the Service, any deal or coupon obtained through the Service, or any interaction with a Partner business. This includes, without limitation, any direct, indirect, incidental, special, consequential, or punitive damages, loss of profits, loss of data, personal injury, or property damage, regardless of whether such liability arises in contract, tort (including negligence), strict liability, or any other theory, and even if Mio Perks has been advised of the possibility of such damages.

If any jurisdiction does not allow the exclusion or limitation of certain damages, the liability of Mio Perks in such jurisdiction shall be limited to the minimum extent permitted by law, and in no event shall it exceed fifty US dollars ($50).

4. User Accounts and Eligibility

You must be at least 13 years of age (or the age of digital consent in your country, whichever is higher) to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorised use.

5. User Conduct

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
Attempt to fraudulently redeem coupons, create multiple accounts, or abuse loyalty programmes.
Harvest, scrape, or collect data from the Service without our prior written consent.
Reverse-engineer, decompile, or attempt to extract the source code of the Service.
Post or transmit any content that is defamatory, harassing, obscene, or otherwise objectionable.
Use the Service to spam or send unsolicited communications to Partners or other users.
Impersonate any person or entity, or falsely represent your affiliation with any person or entity.

We reserve the right to suspend or permanently terminate your account if we reasonably believe you have violated these Terms, without liability or prior notice.

6. Intellectual Property

All content, branding, software, and materials on the Service are the property of Mio Perks or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for personal, non-commercial purposes only. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

7. Third-Party Links and Content

The Service may contain links to Partner websites or third-party content. Mio Perks is not responsible for the content, privacy practices, or availability of any third-party site. Your dealings with any third party are solely between you and that third party.

8. Disclaimers

The Service is provided free of charge. Mio Perks does not guarantee continuous, uninterrupted, or error-free access to the Service. We may modify, suspend, or discontinue the Service (or any part thereof) at any time without notice or liability.

9. Dispute Resolution

Any dispute arising out of or relating to these Terms or your use of the Service shall first be submitted to informal negotiation by contacting us at legal@mioperks.com. If the dispute is not resolved within 30 days, it shall be submitted to binding arbitration under the rules of the American Arbitration Association (“AAA”), conducted in English. You waive any right to participate in a class-action lawsuit or class-wide arbitration against Mio Perks.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. To the extent arbitration does not apply, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date above. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
